Terms of Use

1. Scope and parties

These Terms of Use (the “Terms”) form an agreement between LAGOON Limited (“Lagoon”, “we”, “us”) and the business customer and its authorised users (“you”) who access this website and the Lagoon Order Portal (the “Portal”). They apply in addition to any separate supply, manufacturing or framework agreement; in the event of conflict on a specific point, the separate signed agreement prevails.

2. Business customers only

The Portal is provided exclusively to businesses (B2B) for purposes relating to their trade or profession. It is not directed at consumers. By using the Portal you confirm that you act on behalf of a business and are authorised to do so.

3. Access and accounts

• Access to the Portal is granted by invitation and is personal to each named user. Access rights are non-transferable.
• You are responsible for keeping your login credentials confidential and for all activity that takes place under your account.
• You must not share your account, password or login links, and must not allow any other person to access the Portal through your account.
• You must notify us without undue delay if you become aware of any unauthorised access, loss of credentials or other security incident.
• We may suspend or withdraw access at any time, in particular where these Terms are breached.

4. Confidentiality and restrictions on content

All materials made available through the Portal and the website — including but not limited to product and garment images, article and style data, designs, technical specifications, samples, certificates, prices, availability, conditions and any other details or information (together, the “Confidential Materials”) — are confidential and the proprietary property of Lagoon and/or its principals. They are disclosed to you solely for your own internal business evaluation and ordering purposes within the existing business relationship.

You agree that you will not, in whole or in part:

• disclose, pass on, forward, send, publish, present or otherwise make available any Confidential Materials to any third party — including affiliates, agents, sub-contractors, other suppliers, competitors, the press or the public — without our prior written consent;
• download, copy, reproduce, screenshot, screen-record, scrape or store Confidential Materials beyond what is strictly necessary for the permitted internal purpose;
• use any product images, articles, designs, details or information for any purpose other than the agreed business relationship, including for sourcing identical or similar products elsewhere;
• use Confidential Materials to train, fine-tune or feed any artificial-intelligence or machine-learning system;
• remove or obscure any copyright, trademark or confidentiality notice; or
• access the Portal by automated means, or attempt to circumvent its access controls or security.

You must limit access to Confidential Materials to those individuals within your organisation who need it for the permitted purpose and who are bound by confidentiality obligations at least as protective as these Terms. You remain responsible for their compliance. These confidentiality obligations continue to apply after your access ends and after any business relationship is terminated.

5. Intellectual property

All intellectual-property rights in the website, the Portal and the Confidential Materials remain with Lagoon and/or its principals. Nothing in these Terms grants you any licence or right other than the limited, revocable, non-exclusive and non-transferable right to access and use the Portal for the permitted purpose described above.

6. Orders and product information

Product information, prices and availability shown in the Portal are provided for the purpose of the business relationship and may change. They are not a binding offer unless expressly stated. Orders placed through the Portal are subject to our confirmation and to any separate supply or framework agreement between us.

7. Acceptable use

You must use the website and Portal lawfully and must not interfere with their operation, introduce malicious code, attempt to gain unauthorised access to any systems or data, or use them in any way that could damage, disable or impair the service or its security.

8. Availability

We aim to keep the Portal available but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue all or part of the website or Portal, and may carry out maintenance, at any time.

9. Disclaimers and limitation of liability

To the maximum extent permitted by applicable law, the website and Portal are provided on an “as is” and “as available” basis without warranties of any kind. To the maximum extent permitted by law, Lagoon shall not be liable for indirect, incidental or consequential loss, or for loss of profit, data or goodwill, arising out of or in connection with the use of the website or Portal. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

10. Indemnity

You agree to indemnify and hold Lagoon harmless against any loss, damage, cost or expense arising from your breach of these Terms, and in particular from any unauthorised disclosure or use of Confidential Materials.

11. Data protection

Our processing of personal data in connection with the website and Portal is described in our Privacy Policy.

12. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong shall have exclusive jurisdiction.

13. Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver of it. We may update these Terms from time to time; the version published on this page applies to your use of the website and Portal.
